Terms of Service

These are the rules, responsibilities, and contractual limitations for using the autonomous NOKTAI platform. By continuing to use our services, you agree to these global premises.

Critical Alert: Risk Limitation regarding Financial Automation

Given that NOKTAI features autonomous automation that manages bids and budgets on ad networks (Google Ads / Meta Ads), the client assumes the inherent risks of AI automation. NOKTAI does not guarantee ROI (Return on Investment). Liability for losses related to the agent's autonomy, human configuration errors, or integrated API failures is assessed under the applicable law and the specific contract.

1. Acceptance of Terms

By accessing and using the services of the NOKTAI platform ("We", "Our" or "Platform"), the user ("You" or "Client") expressly agrees to these Terms of Service (ToS). If you do not agree with any part of these terms, you should not use our services. THANER MAIA CHAGAS, registered in Brazil under CNPJ No. 19.400.671/0001-78 and responsible for the NOKTAI brand, provides Software as a Service (SaaS) and Artificial Intelligence-based automation infrastructure for marketing management, CRM, and business processes.

2. Limitation of Liability - AI Automations

NOKTAI provides autonomous agents based on Artificial Intelligence to automate routines, including, but not limited to: creating campaigns on Google Ads, Meta Ads, and automated CRM interactions. You expressly acknowledge and agree that: 1. AI makes decisions based on mathematical probabilities, configured budgets (Budget limits), and rules established by the user. 2. NOKTAI is NOT responsible for direct or indirect losses, loss of profit, or financial damages resulting from unintended spending on third-party ad platforms (Google/Meta), generated by incorrect configurations, third-party API failures, or anomalous, unforeseen behavior of LLM models. 3. It is the Client's sole responsibility to set and monitor daily and monthly billing limits directly in the Google Ads and Meta Business panels, serving as the ultimate financial line of defense.

3. Integrations with Third-Party APIs

Our services rely on APIs provided by third parties (Google, Meta, OpenAI, Anthropic, Stripe, among others). NOKTAI does not guarantee the continuous uptime of third-party services and will not be held liable for interruptions, synchronization failures, or feature deprecation (API sunset) imposed by these companies, which may temporarily affect the performance or delivery of the automations configured on our platform.

4. Payments, Plans, and Subscriptions

Services are billed according to the plan chosen at the time of contracting. • Auto-Renewal: Subscriptions are automatically renewed unless canceled prior to the new billing cycle. • Refunds: Due to the nature of direct AI inference costs and GPU usage involved in our infrastructure, we do not offer refunds for billing cycles that have already begun or AI credits already consumed, except where required by law.

5. Acceptable Use Policy

The Client agrees NOT to use the NOKTAI platform to: 1. Generate, promote, or boost illegal, fraudulent, defamatory, or hateful content. 2. Circumvent or attempt to break the platform's rate limits. 3. Reverse engineer the autonomous agents or the proprietary integration logic. 4. Distribute malware or execute cyberattacks against our infrastructure. Violation of these rules will result in immediate ban and account termination, with no right to a refund.

6. Jurisdiction, Venue, and International Arbitration

These Terms of Service are governed by and construed in accordance with the laws of the Federative Republic of Brazil. For clients domiciled in Brazil: The courts of Varginha, State of Minas Gerais, are elected to resolve disputes, except where applicable law grants the consumer another competent venue. For international clients (USA, Europe, and other countries): It is agreed that any dispute or litigation arising from the use of the platform may be submitted to International Arbitration, in accordance with the Rules of Arbitration of the International Chamber of Commerce (ICC) or UNCITRAL rules, conducted in the English language, waiving litigation in foreign state courts where NOKTAI has no legal physical representation.
